Terms of Service for DoNex

Effective Date: November 10, 2025

1. Acceptance of Terms

By creating an account, accessing, or using the DoNex AI Sales Assistant & Support CRM platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, merchants, and others who access the Service ("you" or "Customer").

2. Description of Service

DoNex provides an AI-powered automation tool that integrates with third-party platforms (including, but not limited to, Instagram/Meta, Shopify, and WooCommerce) to automate customer interactions, sync inventory data, and facilitate sales.

A. Beta Services

Currently, parts of the Service may be designated as "Beta" (e.g., Early Access features). Beta services are provided "AS-IS" and may contain bugs or experience deeper downtimes. We are not obligated to provide technical support for Beta services and may discontinue them at any time.

3. Platform Dependencies & Third-Party Terms

DoNex is an independent service and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. (Instagram/Facebook), Shopify, or Automattic (WooCommerce).

  • Platform Compliance: Your use of DoNex is also subject to the Terms of Service of the platforms you connect to (e.g., Instagram Terms of Use).
  • Service Interruption: We rely on third-party APIs to function. We are not liable if these platforms change their APIs, restrict access, or if your account is suspended by them due to your activities.

4. AI Services & Responsibilities

DoNex utilizes advanced Artificial Intelligence (AI) and Large Language Models (LLMs) to generate responses.

  • Accuracy Disclaimer: While we strive for high accuracy, AI models can occasionally generate incorrect information ("hallucinations"). You are ultimately responsible for reviewing critical automated interactions.
  • Data Sovereignty Choices: As outlined in our Privacy Policy, if you select "Strict Regional Locking," we contractually agree to limit AI processing to your selected region. Failure to select a region defaults to standard global processing to ensure optimal response quality.
  • Authorization to Act: By enabling the Service, you authorize DoNex's AI to act as your sales agent, including checking inventory and confirming orders on your behalf based on the parameters you set.

5. Account Registration & Security

  • Eligibility: You must be at least 18 years old and have the authority to bind your business to these Terms.
  • Credentials: You are responsible for maintaining the security of your login credentials. DoNex is not liable for any loss or damage arising from your failure to protect your account.

6. User Conduct & Acceptable Use

You agree not to use DoNex to:

  • Violate any applicable laws or regulations (including consumer protection and spam laws).
  • Distribute illegal, harmful, or fraudulent products or content.
  • Overload Meta’s networks by intentionally setting overly aggressive automation triggers (spamming DMs).
  • Reverse engineer or attempt to derive the source code of the Service.

We reserve the right to suspend any account that violates these rules immediately without refund.

7. Subscription, Fees, and Payment

  • Billing: Services are billed in advance on a recurring basis (monthly or annually) depending on your selected plan.
  • Cancellations: You may cancel your subscription at any time via your dashboard. Your service will continue until the end of the current billing period.
  • Refunds: Due to the costs associated with AI processing, we generally do not offer refunds for partial billing periods unless required by law.

8. Intellectual Property

  • Our IP: DoNex, including its software, code, proprietary AI workflows, and trademarks, remains the exclusive property of DoNex.
  • Your Data: You retain all rights to your Merchant Data (inventory, product images, customer lists). You grant us a limited license to use this data solely to provide the Service to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY ERRORS OR INACCURACIES IN AI-GENERATED RESPONSES OR INVENTORY SYNCING.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE (12) MONTHS.

10. Indemnification

You agree to defend, indemnify, and hold harmless DoNex and its employees from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party right (including Meta’s platform terms).

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this site and updating the "Effective Date." Your continued use of the Service after such changes constitutes acceptance of the new Terms.
